Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PeakPro platform and websites (the "Service") provided by Scarpati Enterprises Inc. ("PeakPro," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. Account & access

You must be at least 18 years old to use the Service. You are responsible for your account credentials and all activity under your account, and you must notify us promptly of any unauthorized access at support@peakproapp.com.

2. Subscription plans & billing

• Plans: Starter $129, Pro $249, and Scale $449 per month.
• 14-day free trial. If you add a card during or after the trial, the plan auto-charges at the end of the trial unless you cancel first.
• You can cancel any time from your billing settings.
• Refunds: 7-day no-questions-asked; after that, on a case-by-case basis.
• We provide 30 days' notice of any price change.

3. Customer data & ownership

You own your data. You grant PeakPro a limited license to host and process it solely to operate and provide the Service. You can export your data (CSV/JSON) at any time. We do not sell your data.

4. Acceptable use

You agree not to use the Service to send spam, phishing, or illegal content; to reverse engineer or abuse the Service; to upload malware; to violate export controls; or to build a competing product. We may suspend accounts that violate these rules.

5. Integrations & third-party services

When you connect an integration (e.g., Google, Microsoft, QuickBooks, Stripe, Twilio, EagleView), you authorize PeakPro to act within the scope you grant. Each provider's own terms apply, and PeakPro is not responsible for provider outages or changes. You may disconnect an integration at any time.

6. AI features

• AI output is generated and may be inaccurate — review it before acting on it.
• Our AI providers (Anthropic, Google) do not train their models on your data.
• AI usage may be metered and billable.

7. Electronic signatures (ESIGN Act & UETA)

The Sign Proposal feature creates legally binding electronic signatures under the U.S. ESIGN Act and UETA. On-screen audit metadata (IP address, timestamp, and a signature hash) is part of the signed record, and an emailed PDF receipt is provided. You may withdraw consent to future electronic signatures by contacting support@peakproapp.com.

8. Service availability

We target 99.5% uptime on Starter and Pro plans, and offer a 99.9% SLA on the Scale plan. Planned maintenance and events outside our control may affect availability.

9. Termination

• You can cancel from your billing settings at any time.
• We may terminate or suspend for cause, including breach of these Terms, non-payment for 30+ days, or illegal use.
• On termination you have a 30-day window to export your data, after which it is purged within 90 days.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, PeakPro's total liability is limited to the amounts you paid in the trailing 12 months, and we are not liable for indirect, incidental, or consequential damages.

12. Indemnification

You agree to indemnify and hold PeakPro harmless from claims arising out of your data or your violation of these Terms or applicable law.

13. Governing law

These Terms are governed by the laws of the State of Colorado, USA, and you agree to the exclusive jurisdiction of the courts located in Denver County, Colorado.

14. Changes

We may update these Terms. For material changes we will provide at least 30 days' notice to account admins before they take effect.
